The terms governing your use of Embase — subscriptions, acceptable use, data ownership, liability and cancellation. Please read them before using the service.

Acceptance of Terms
By creating an account or using Embase ("the Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by a sole proprietor registered in Georgia ("Embase", "we", "us"); full legal details are available on request via support@embase.tech. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are provided in English. In the event of any conflict between translated versions and the English version, the English version shall prevail.
Description of Service
Embase is an AI-powered competitive intelligence platform that monitors publicly available data sources — including websites, pricing pages, news, and similar public channels — and delivers processed intelligence in the form of signals, reports, and battle cards.
The Service is intended for business use by organisations and professionals; it is not offered to consumers. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable advance notice where practicable.
Accounts and Responsibilities
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account and within your organisation workspace.
You must notify us immediately at support@embase.tech if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised account access where you have not taken reasonable steps to protect your credentials.
You may not share account credentials with users outside your organisation, exceed the seat limits of your plan by sharing logins, or resell access to the Service without our written permission.
Subscriptions, Trials and Billing
Embase offers the Starter, Pro, and Enterprise plans. Current pricing, seat counts, competitor limits, and feature availability for each plan are described on our pricing page at embase.tech/pricing and may change with notice. Subscriptions and payments are processed by our billing provider; we do not store payment card details.
The Starter plan includes a free 7-day trial. Unless you cancel before the trial ends, the trial converts into a paid subscription for the plan and billing period you selected.
Paid subscriptions renew automatically at the end of each billing period (monthly or annual). You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period, and no partial refunds are provided for unused time except where required by applicable law.
We reserve the right to change pricing with at least 30 days advance notice to affected subscribers. Continued use after a price change takes effect constitutes acceptance of the new pricing.
All fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies applicable to your purchase.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to: infringe the intellectual property or privacy rights of any party; monitor individuals rather than companies; transmit malware, spam, or other harmful content; attempt to gain unauthorised access to our systems or those of third parties; probe, circumvent, or overload our rate limits and plan limits; or engage in any activity that disrupts or impairs the Service.
Automated access to the Service is permitted only through interfaces we provide for that purpose (such as the MCP endpoint available on eligible plans). You must not scrape the Service itself, systematically export intelligence to build a competing product or dataset, or resell Service output as a standalone offering.
We reserve the right to suspend or terminate accounts that violate this acceptable use policy, with or without advance notice, depending on the severity of the violation.
AI-Generated Content
Signals, company profiles, reports, battle cards, and similar outputs are generated by artificial intelligence from publicly available information. AI-generated content may contain inaccuracies, omissions, or outdated information, and estimates (such as win rates or threat levels) are analytical opinions, not statements of fact.
Intelligence delivered by Embase is provided for general business-information purposes only and does not constitute legal, financial, or professional advice. You are responsible for independently verifying any information before making business decisions based on it, and for how you use the outputs — including any claims you make about competitors in your own materials.
Intellectual Property
Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your organisation’s internal business purposes for the duration of your subscription. You may not reproduce, modify, create derivative works from, reverse engineer, or decompile the Service, except to the extent such activity is expressly permitted by applicable law.
Embase and its licensors retain all intellectual property rights in the Service, including software, models, prompts, user interface designs, trademarks, and documentation, as well as in the underlying shared intelligence data the platform maintains about companies. Nothing in these Terms grants you any rights in the Service beyond those explicitly stated.
You own the data you provide to your workspace — competitor selections, sources, notes, and settings — and you grant Embase a limited, non-exclusive licence to process it solely to deliver the Service to you.
You may use the intelligence outputs delivered to your workspace (signals, reports, battle cards, and exports) for your organisation’s internal business purposes, including sharing them within your team and with your integrations.
Data Ownership and Privacy
You own your workspace data. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
When you delete your account or your organisation, the corresponding data is deleted immediately as described in the Privacy Policy; residual copies may persist in encrypted backups for up to approximately 30 days before they expire.
Third-Party Services
The Service integrates with third-party platforms you choose to connect — such as Slack, Microsoft Teams, your own webhook endpoints, or external AI clients connecting through our MCP endpoint. Your use of those integrations is governed by the respective third parties' terms of service, not these Terms, and we are not responsible for how connected third-party tools handle the content you deliver to them.
The Service depends on third-party infrastructure and model providers. Temporary unavailability of a third-party provider may temporarily limit parts of the Service; such interruptions do not constitute a breach of these Terms.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
We do not warrant that the Service will be error-free, that defects will be corrected, or that intelligence outputs will be accurate, complete, or up to date. No uptime or support commitments apply unless expressly agreed in a separate Enterprise agreement.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMBASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING DECISIONS MADE IN RELIANCE ON AI-GENERATED INTELLIGENCE.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of the above limitations may not apply to you.
Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Embase from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of applicable law, or your misuse of the Service — including claims arising from how you use or republish intelligence outputs.
This indemnification does not apply to claims arising from our own negligence, our breach of these Terms, or our violation of applicable law.
Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Georgia, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation initiated by written notice to support@embase.tech. If unresolved within 30 days, disputes shall be submitted to the competent courts of Georgia, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights. Nothing in this section deprives you of protections granted by mandatory provisions of the law of your place of establishment.
Termination
You may stop using the Service at any time and delete your account or organisation through your account settings; deletion takes effect immediately as described in the Privacy Policy. We may suspend or terminate your access immediately for material violations of these Terms, or with 30 days notice for any other reason.
Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.
Severability and Entire Agreement
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
These Terms, together with the Privacy Policy (incorporated by reference) and any separate Enterprise agreement you enter into with us, constitute the entire agreement between you and Embase concerning your use of the Service and supersede any prior agreements or understandings.
